The General Terms and Conditions of Sale for the purchase of Agorá Luxury products ("Products") displayed on this website ("Website") by AGORA' Sas di M. Parravano & Co., Piazza Rena 3, Merano (BZ) Italz, VAT number 01370120212 ("Agorá Luxury" or alternatively the "Seller") are incorporated in this sales contract ("Contract"). Each user browsing the Website ("User") is invited to read the contract before placing an order for the purchase of products on the Website ("Order"); In fact, the sending of an order implies its acceptance. Any modification to the Agreement will be effective immediately upon posting on the Site and will apply to all subsequent orders.

1. Customers

The completion of orders on the Website is only permitted to natural persons who have the legal capacity to enter into binding agreements in accordance with applicable law and to act for purposes not related to a business or professional activity carried out ("Customers").

Upon request, customers must provide their first and last name, date of birth, email address, product shipping address, tax identification number, and other personal information. This information must be truthful, accurate and constantly updated.

The User may not place orders on the Website using the name or login details of another person unless expressly authorised by the Authorised Party.

The purchase of products for the purpose of resale is prohibited.

2. Acceptance of the order – purchase contract

After the electronic transmission of an order, the customer will receive a special e-mail confirming receipt of the order.

The purpose of this notice is to inform the customer that the order has been received and to provide them with the corresponding unique identification code of the order. This does not in any way imply acceptance of the order by the seller. If one or more of the data contained in the e-mail is incorrect, the Customer must immediately notify the Seller's customer service ("Customer Service") via the link contained in the confirmation of receipt of the order.

Acceptance of the order by the Seller will only take place when the Customer sends the confirmation of acceptance of the order ("Order Confirmation"), which usually coincides with the shipment of the Products. The contract in question shall be deemed to have been concluded upon receipt of the order confirmation by the customer.

Prior to this, the Seller reserves the right not to accept an order if it deems it appropriate. In particular, the Seller shall not be liable for any reason in the event that an ordered product is removed from the Site after the corresponding order has been shipped. In fact, there may be times when the website accidentally displays products that are currently unavailable.

In the event of partial unavailability of the order, Customer Service will contact the Customer to verify that they are willing to (a) receive a partial order, (b) receive the entire order in multiple shipments, or (c) cancel the order.

However, in the event of complete unavailability of the order, Customer Service will contact the Customer to inform them that the order cannot be processed and cancel the order in question. In such a case, no charge will be imposed on the customer.

3. Payments

Orders may be placed using major credit cards, debit cards, or other payment methods made available on the Site (collectively, the "Payment Methods").

Seller will debit the purchase price, as defined below ("Price"), at the same time as accepting the Order. However, at a stage prior to the acceptance of the order, security checks may be carried out on the payment method chosen by the customer for the order, i.e. a pre-authorisation or pre-booking for precautionary purposes.

The Seller uses a primary payment gateway to authorize payments for orders ("Payment Gateway"); Consequently, the Seller does not directly manage financial information related to the payment method used by the Customer, nor does the Website process financial information provided for the execution of the Order.

The payment gateway protects the details of the credit or debit card used by encrypting sensitive information to ensure it is transmitted securely. The website uses Secure Socket Layer (SSL) technology to ensure a higher standard of security with each order.

In the unlikely event of any error, negligence or tort in connection with the processing of the transaction in connection with an order by the Payment Gateway and Payment Intermediary Systems, neither the Seller nor the Website shall be liable for any such error, negligence or tort.

The Seller reserves the right to cancel a transaction and cancel the order in question in the event that fraudulent use of the payment method used for the order is reported. In addition, the Seller shall not be liable in the event of unlawful use of a payment method by a third party that is not due to its fault or negligence.

4. Shipping and delivery

Agorà Luxury ships and delivers orders with leading couriers.

The Seller undertakes to deliver the Orders to the Customers precisely and quickly, in accordance with the delivery conditions indicated on the Website at the time of purchase and, in any case, within 30 (thirty) days from the date of sending the Order Confirmation to the Customer.

The order confirmation will be sent to the customer when the products are handed over to the courier for shipment.

In certain circumstances, such as sales or store closures, delivery times may vary. The seller cannot be held responsible for delays in delivery that are not due to his fault or negligence. Therefore, the Seller is exempt from liability for delays due to force majeure, strikes, natural disasters, facts related to customs clearance procedures and other facts related to the provision of courier services or other circumstances beyond its control.

The order confirmation will indicate the tracking number, which will allow the customer to follow the shipping and delivery process of the products on the website of the respective courier.

The customer is invited to do everything in his power to facilitate the delivery of the order, to make himself available for receipt or to delegate it to third parties.

The courier will make a first attempt to deliver the order to the address provided by the customer. If the delivery is unsuccessful, the courier will inform the customer about the delivery attempt and try to arrange with the customer for another delivery of the order.

In the event that the courier is unable to deliver the order definitively, Customer Service will contact the customer to verify their interest in a new shipment.

At the time of delivery, the customer must verify the accuracy of the number of packages and the integrity of the outer packaging. In the event that the customer detects any anomalies in the delivery, such as in relation to the number of packages or in the event of damage to the outer packaging, the customer must sign the delivery document with reservations and contact customer service. If the customer fails to do so, he may not subsequently oppose an objection to the delivery, without prejudice to the provisions of Article 8 below on hidden defects and in accordance with the legal provisions on the mandatory protection of consumers.

The customer can contact customer service by filling out the form on the website.

5. Pick-up in store

To the extent permissible, during the purchase process, the Customer may choose to pick up the Products at no additional cost at a specific single-brand boutique of the Agorá Luxury Group ("Boutique").

The boutique pick-up service is available for a limited number of boutiques. When checking the order, the customer can check which boutiques have a pick-up service available.

In this case, once the order has been processed, the Seller will contact the Customer to inform them of the date from which the Products will be available for collection at the selected Boutique. From this date, the order can be picked up at the Boutique for a maximum period of 15 (fifteen) days.

In the event that the products are not collected within the above period, customer service will contact the customer to arrange a new delivery of the products. In the event that the Customer does not notify the Seller within the period of 5 (five) working days, the order will be deemed cancelled.

The customer is asked to pick up the order in person at the boutique or to send another person for this purpose.

The person appointed by the customer to collect the products from the boutique must provide:

1.      Copy of the order confirmation;

2.      Copy of the customer's ID;

3.      Original of their identity document, valid and recognized in the area where the boutique is located.

6. Pricing

All prices published on the Website are inclusive of VAT ("Prices").

With respect to the shipping costs of the orders ("Shipping Costs"), the Customer must refer to the provisions in the "Shipping Costs" section.

The amount of the shipping costs (if due), including VAT, will be displayed in the order summary during the order process and will be displayed in the order confirmation sent to the customer after the order has been accepted.

Any changes in the prices of the Products will take effect from the date of publication of the new prices on the Website, without retroactive effect on orders already accepted by sending an order confirmation.

Except in the case of a recognizable error pursuant to art. 1431 of the Italian Civil Code, the Seller reserves the right not to accept an order due to the erroneous price published on the Website or indicated in the e-mail confirming receipt of the order, i.e. before acceptance by the Seller.

7. Coupons and discount codes

On the occasion of marketing campaigns, the Seller may provide customers with coupons and discount codes for the purchase of products on the Site.

These coupons and discount codes can never be used for in-store purchases.

Coupons and discount codes issued by the seller are non-refundable under any circumstances.

8. Non-Conforming Products – Legal Warranty

Without prejudice to the provisions of Article 4 above, the Seller assumes responsibility for any original defect in the Products.

The Seller guarantees the Customer that the Products sold are not defective and comply with the provisions of the Agreement, i.e. in particular that the Products:

         correspond to the description on the website and possess the qualities of the products that Agorá Luxury has presented to the customer as samples or models;

         are suitable for the purpose for which goods of the same type are usually used;

         possess the usual quality and performance of an asset of the same type that the client can reasonably expect, taking into account the nature of the asset.

For technological reasons, neither Agorá Luxury nor the Website can guarantee that the colour representation on the screen will always be correct.

Slight discrepancies between the description of the Product on the Site and the actual characteristics of the Product will not be considered a cause of non-conformity of the Product for purposes of this Agreement.

The guarantee of conformity of the Products sold on the Website is 2 (two) years from the date of receipt of the Products by the Customer.

The sale of the products is subject to the rules set out in Articles 129, 130 and 132 of the italian Consumer Code. In the event that a non-compliant product is supplied, the customer may request the restoration of the conformity of the products by repair or replacement free of charge. If this is not possible, the customer is entitled to a corresponding reduction of the purchase price or a refund of the purchase price and (if applicable) the shipping costs.

The customer is obliged to inform Agorá Luxury of any lack of conformity of the products within a period of 2 (two) months from the date on which they discovered the lack of conformity, by filling in the form on the website. Upon receipt of the Customer's notification, the Seller will contact the Customer to agree directly with the Customer on the modalities of collection of the Products.

The mere receipt of the Products by the Seller after the activation of this procedure does not in any way imply the recognition of a lack of conformity of the Products, as careful verification by the Seller is required.

In any case, the action to assert hidden defects shall be time-barred within twenty-six months from the delivery of the product.

9. Exchange and return of products – right of withdrawal

Within 30 (thirty) days from the date of delivery of the order, the customer has the right to:

         request the replacement of a product with a unit of the same product in a different color or size; or

         withdraw from the contract without incurring a penalty and without having to give a "withdrawal" reason.

For this purpose, in order to verify compliance with the aforementioned deadline, the date of delivery of the products will be taken into account, as indicated by the tracking system provided by the courier on its website.

If the Customer decides to request the replacement of the Products or to exercise the aforementioned withdrawal, they must inform Agorá Luxury of their intention in advance by one of the following notification methods:

         for registered customers: by activating the special procedure for returns in the "Orders" section, available in the "Your Page" section of this website; or

         for non-registered customers: by activating the appropriate procedure after tracking the corresponding order in the "Orders and Returns" section in the main menu of the Website;

         for both: by contacting customer service via the electronic form ("Contact Us" section)

If the customer chooses to contact customer service for returns, they must provide the unique identification code of the order, which is included in the order confirmation.

The possibility of return is active only for orders that have already been delivered to the customer according to the tracking system provided by the courier.

The return or exchange form is pre-filled by the seller; The Customer must verify the accuracy of the data contained therein and, in any case, ensure that the notification includes the unique identification code of the order and any request to replace the Product with a unit of the same Product in a different color and/or size.

Within the return or exchange form, the customer can indicate the reason for the return and any indications (e.g. defects found).

Upon receipt of the notification, Agorá Luxury will notify the Customer by email of the confirmation of receipt of the request for withdrawal or replacement, which includes authorization to return the Products ("Authorization"). However, approval may be refused if Agorá Luxury determines that the conditions for withdrawal or replacement are not met, for example because more than 30 (thirty) days have elapsed from the date of delivery of the Products to the Customer.

In the case of returns, the customer can only contact the courier indicated by Agorá Luxury in the return form and/or in the power of attorney to book the collection of the products and must affix the label provided by Agorá Luxury by email to the corresponding shipping package.

The customer must deliver the products to the courier for return to Agorá Luxury within 14 (fourteen) days from the date of receipt of the authorization.

Especially:

         The returned products must be returned with all the labels, security seals, packaging and accessories (suitcases, hangers, clothes cover, etc.) that they received with the order.

         The products, labels, security seals, packaging and accessories must not have any signs of use, scratches or altered in any way (worn, washed, ironed, etc.) and must be returned in the same condition in which they were shipped by the seller and in the original "Agorá Luxury" inner packaging.

Therefore, the purchase price and shipping costs are in relation to:

         Products from which the security seal has been removed or cut off; or

         Products that are used, incomplete (especially missing parts or accessories), ruined, damaged, deteriorated or dirty. Signs of use on the sole of the returned shoes will affect the refund or replacement of the product.

         Products that are returned without the "Agorá Luxury" inner packaging.

The Customer shall be solely liable for any depreciation in the value of the Products resulting from handling other than that necessary to determine the nature, characteristics and functioning of the Products.

Once the conditions for replacing the Product or exercising the withdrawal have been verified, the Seller will notify the Customer of the acceptance of the return and proceed with the replacement of the Product or, in the event of a withdrawal, with the refund of the purchase price and all shipping costs incurred by the Customer ("Refund").

Provided that the customer has followed this procedure correctly, the shipping costs of the returns will be borne in full by the seller.

The Seller undertakes to carry out the refund procedure described above within 14 (fourteen) days from the date of receipt of the returned Products. The refund will be made via the same payment method that the customer used to place the order.

Subject to the cancellation policy described above, the customer may personally return the products purchased on the website or request another person to go to one of the Agorá Luxury Group boutiques indicated on the website for this purpose. In this case, the Customer must complete the online return procedure on the Website, as described above, by selecting the return to the Boutique as the return method and selecting one of the Boutiques indicated on the Website.

To return to the Boutique, the Customer must have:

1.      Copy of proof of purchase;

2.      copy of the nulla osta;

3.      Original identity document valid and recognized in the area where the boutique is located.

In the event that the customer has returned the products without the cancellation policy, Agorá Luxury cannot accept the right of withdrawal. In this case, the Seller will return the Product to the Customer, subject to checking its availability in this regard, and reserves the right to charge the Customer for subsequent shipping costs.

After multiple returns and returns by a customer, the seller reserves the right to decide whether or not to accept an order from the same customer.

Customers must ship the products for return from the same country to which the products were delivered.

10. Governing Law and Disputes.

These General Terms and Conditions of Sale and the sales contracts governed by them are governed by Italian law.

For all disputes relating to these General Terms and Conditions of Sale and the contracts governed by them, the competent court of the Customer's domicile or place of residence, in accordance with the applicable law or at the Customer's choice, the court of Bolzano, shall have jurisdiction. This is without prejudice to the possibility of promoting the out-of-court settlement of disputes, as provided for in articles 66 and 141 of the Italian Consumer Code.

11. Notices or complaints

For any communication, information or complaint relating to an order and these General Terms and Conditions of Sale, the Customer may contact Customer Service through the appropriate form on the Website on the Contact Page.

12. Miscellaneous

In this agreement, the singular form includes the plural form and vice versa, depending on the context.

No waiver by Agorá Luxury of any remedy for any breach of this Agreement shall imply a waiver of any prior or subsequent breach of any provision of the Agreement.

If any provision of this Agreement is held to be illegal, void or unenforceable for any reason, that provision shall be deemed severable from the other provisions of this Agreement and shall in no way alter the validity and enforceability of the remaining provisions of this Agreement.
